1. Agreement to Terms

By accessing or using Team Matches (the "Service"), available at https://teammatches.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Team Matches ("Company," "we," "us," or "our") governing your use of the Service.

2. Description of Service

Team Matches is a web-based platform that enables sports teams to manage their availability, find opponents in their division or category, request games, and manage their game schedules. The Service includes features such as:

• Team profile creation and management
• Availability slot scheduling and import functionality
• Game request and response system
• Calendar and schedule views
• Venue management
• Email notifications

3. User Accounts

3.1 Account Registration

To use certain features of the Service, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Subscription and Payment

4.1 Subscription Plans

Access to certain features of the Service requires a paid subscription. Subscription plans, pricing, and features are described on our website and may be updated from time to time.

4.2 Billing

By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis according to your selected billing cycle. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period, after which your account will revert to the free tier (if available) or be deactivated.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload or transmit viruses, malware, or other malicious code
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
• Use the Service for any fraudulent or deceptive purpose
• Harass, abuse, or harm another person or entity
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest user data without consent
• Use automated systems or software to extract data from the Service (scraping)
• Send unsolicited communications, spam, or promotional materials

6. User Content

6.1 Your Content

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"), including team information, availability data, messages, and images such as team logos.

6.2 License Grant

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, modify, and display such content solely for the purpose of operating and providing the Service.

6.3 Content Responsibility

You are solely responsible for your User Content and represent that you have all necessary rights to submit such content. We do not endorse any User Content and expressly disclaim any liability arising from User Content.

7. Intellectual Property

The Service, including its original content, features, and functionality (excluding User Content), is and will remain the exclusive property of Team Matches and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

8. Third-Party Services and Links

The Service may contain links to third-party websites or services that are not owned or controlled by Team Matches. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Team Matches shall not be responsible or liable for any damage or loss caused by or in connection with your use of any such third-party content, goods, or services.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your personal information. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Team Matches does not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEAM MATCHES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Team Matches and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If such dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in Toronto, Ontario, Canada, in accordance with the rules of the ADR Institute of Canada.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect by posting the updated Terms on the Service and updating the "Last updated" date.

Your continued use of the Service after such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Waiver

The failure of Team Matches to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Team Matches.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Team Matches regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
